Establishment of a limited liability company (SRL) having as main activity medical services or medical company

To register a limited liability company (SRL) having as main activity the provision of medical services, the normative acts in force stipulate specific establishment and licensing terms.

The company may be established by one or several shareholders, according to Law no.31/1990 on companies.

The key prerequisite is that the company’s director be a physician and that they can produce proof as to such capacity by supplying a bachelor’s (master’s) degree or the unrestricted practice license issued by the College of Physicians.

Moreover, they also need to be majority shareholders.

Another important requirement is the field of activity (which is limited). Any limited liability company (SRL) providing medical services may have as a main activity one of the following NACE codes:

  • 8621- general medical assistance activities;
  • 8622- specialized medical assistance services;
  • 8623- dental medical assistance activities;
  • 8690- other human health-related activities.

A limited liability company (SRL) having as a main activity the provision of medical services may only have as secondary activities NACE codes that are ancillary to the ones mentioned above, e.g.:

3250 Manufacture of dental medical devices, equipment, and tools.

The establishment of the company is completed within 3 days as of the submission of all the documents with the Trade Registry Office.

The documents required for the establishment of the company are:

1. The registration application;

2. The deed of incorporation signed by the shareholders; it may be certified by a lawyer, authenticated by a notary public, or it may be under private signature (i.e., only signed by the shareholders);

3. The reservation of the company name issued by the Trade Registry Office, preferably, three potential names are chosen, out of which the available one will be selected;

4. The identity documents of the shareholders of the company to be established;

5. The document attesting the right of use over the registered office premises (bailment agreement, lease agreement, legal assistance agreement, in case the registered office with established with a law practice, through the registered office hosting service).

6. The consent of the neighbors and owners’ association in case the registered office of the company is established in a collective building;

7. The statement on own responsibility of the shareholders and of the director, authenticated by the notary public or attested by a lawyer;

8. The signature specimen of the company’s director, issued by a notary public;

9. The proof of the transfer of the company’s registered capital with the bank chosen by the shareholders (the minimum registered capital for a limited liability company (SRL) is of RON 200);

10. The documents in proof of the special capacity as a physician, i.e., the bachelor’s or master’s degrees; the unrestricted practice license issued by the College of Physicians;

11. The special power of attorney (authenticated), lawyer proxy or delegation for the parties appointed to complete the legal formalities;

12. Proof of payment of the legal fees/taxes.

At the end of the company’s establishment operation, the Trade Registry Office issues the registration certificate and the company certificate attesting the authorization to conduct business at the registered office, business unit or secondary office.
